UAE corporate tax for free zone companies, explained honestly

"0% tax, guaranteed" is the most profitable sentence in the UAE setup industry, and one of the most misleading. The 0% free zone rate is real. It is also conditional, and whether your business qualifies depends on facts no salesperson asks about before quoting it. Here's the honest version.

What "qualifying income" actually means

Broadly, the 0% rate is designed for free zone companies doing business with other free zone companies or with the world outside the UAE, in permitted activity categories. It generally does NOT cover:

That last point is the trap: a "0% company" that quietly invoices mainland clients doesn't just pay 9% on those invoices. It can forfeit the 0% status altogether.

The three questions that decide your real rate

  1. Who are your customers? Overseas and free zone clients point toward qualifying income. Mainland UAE clients point toward 9% or a mainland setup done properly.
  2. What is your activity? Some categories qualify cleanly, some are excluded regardless of where customers sit.
  3. Will you keep real substance in the zone? A flexi-desk with zero activity is exactly what the substance rules were written for.

The sales pitch to walk away from

If a consultant promises "0% tax, guaranteed" without asking who your customers are, they have answered a tax question without knowing your facts. That tells you how they'll handle everything else.

An honest answer sounds like: "Based on what you've described, your income looks qualifying / partly qualifying / not qualifying, here's why, and here's what a tax adviser should confirm." Slower. Less catchy. True.
